Terms & Conditions
The http://www.drillgeo.net website is a portal designed to promote the supply and demand of drilling products. The following are the General Terms and Conditions of Agreement pursuant to which Geo&Drill Service s.r.l. offers users access to the services available on http://www.drillgeo.net.
1. Presentation
The use of the services available on http://www.drillgeo.net requires acceptance of the following Terms and Conditions, including any and all Terms and Conditions referred to via links and the Terms and Conditions specified on the websites of our affiliates.
To become a user of http://www.drillgeo.net, you must read and agree to all of the General Terms and Conditions specified below. You must also read and agree to the Privacy Rules.
If you do not agree to these General Terms and Conditions, you will not be able to use the services provided by the portal.
2. How to use http://www.drillgeo.net
Under no circumstances may users of the website and of the services it provides:
- publish content and/or products in inappropriate category(ies) or section(s);
- use the website and/or services in default of the capacity to act;
- stipulate legally binding agreements if the user is a minor or if he/she is temporarily or permanently suspended from this website;
- deliver sold products if the purchaser does not respect the terms and conditions published in the seller’s advertisement or if it is impossible to verify the purchaser’s identity;
- manipulate the price of products or interfere with the advertisements of other users;
- circumvent or manipulate the fee structure, the processing of invoices, or the fees owed to Geo&Drill Service s.r.l.;
- publish false, imprecise, misleading, defamatory or slanderous information (including personal information);
- use or publish spam, chain messages, or pyramid selling schemes;
- spread viruses or any other technology capable of harming Geo&Drill Service s.r.l. or the interests or rights of any users of the portal;
- copy, modify or disseminate the website content or the intellectual property rights and the registered trademarks published on the portal;
- copy, either manually or automatically, or in any way collect information regarding users (including their email addresses) without their consent.
3. Abuse of http://www.drillgeo.net
If Geo&Drill Service s.r.l. believes that a user has acted in any way that may cause problems or may involve civil liability or that such actions violate its rules, it may (for purposes of example only) limit, suspend, or interrupt such user’s services and account, prohibit access to the website, delay or delete the saved content, and take technical and legal measures to prevent such user from accessing the website.
Geo&Drill Service s.r.l. also reserves the right to cancel unconfirmed accounts or accounts that have been inactive for a long time.
4. Fees and services
The user may register on the website and publish advertisements free of charge.
When a product is offered for sale or when a service is used subject to payment of a fee, the fees charged may be checked and accepted based on the Geo&Drill Service s.r.l. Fee Rules, which is subject to change.
Changes to the Fee Rules take effect 14 (fourteen) days after their publication on the website. Geo&Drill Service s.r.l. has the right to temporarily change the fees applied to its services for promotional events (for example, free advertisement days) or for new services, and any such changes take effect when the temporary promotion and/or new service is published on the website.
Unless otherwise specified, all fees are in Euros (EUR).
The user must pay the specified fees and all of the applicable taxes and duties associated with the website and with the services supplied. All payments must be made promptly and with a valid payment method.
Users domiciled in European Union Member States may be required to pay VAT.
If payment is not received, or if the payment deadline has expired, Geo&Drill Service s.r.l. has the right to resort to other procedures to collect the fees due (including charge by other payment methods, resort to credit recovery companies and/or to attorneys).
5. Content
When a user supplies content to Geo&Drill Service s.r.l. (such as photos, videos, etc.), it grants an irrevocable and perpetual license, without territorial limits, free and transferable (at multiple levels) to copyrights, publication rights, and rights to the data bases owned by the user in relation to such content, in any current or future format.
To support the sellers, Geo&Drill Service s.r.l. has the right to offer catalogues containing photographs, descriptions, and specifications of third-party products.
Geo&Drill Service s.r.l. undertakes to offer reliable information; nevertheless, it is impossible to guarantee that those catalogues are always accurate and updated.
If the user decides to include data from catalogues in its advertisements, it will be responsible for ensuring that such advertisements are accurate and with undertake to ensure that they do not contain misleading information. The user agrees not to attribute responsibility for any inaccuracies to the parties supplying the catalogues.
The catalogues may contain material protected by copyright, trademarks, or other intellectual property rights.
The catalogues may be used only for purposes of information and to place advertisements on the website.
It is forbidden to use the content of catalogues if such use violates the rights of third parties.
6. Liability
The user relieves Geo&Drill Service s.r.l. of any and all liability deriving from content, activity or inactivity, or deriving from products offered for sale by other users.
The user acknowledges that the website is simply a place where anyone can sell and purchase products at any time, from any Internet point, and at any location.
Geo&Drill Service s.r.l. plays no role in the transaction – which takes place between the users as the result of their use of the website – and has no control over or liability with regard to the quality, safety, and legality of the advertised products.
Geo&Drill Service s.r.l. cannot check the truthfulness and accuracy of the advertisements or the ability of users to buy or sell, nor can it guarantee that a buyer or a seller is actually able to conclude a transaction.
Geo&Drill Service s.r.l. does not transfer ownership of products from the seller to the buyer and does not guarantee continuous and uninterrupted access to the website and to its services, which may be influenced by factors beyond its control. Consequently, within the limit provided in the Italian Consumer Code and in other applicable laws, Geo&Drill Service s.r.l. excludes any implied warranty, deadline, and condition.
Geo&Drill Service s.r.l. is in no way liable for any economic losses, loss of goodwill, or damage to reputation, nor is it liable for any punitive, specific, direct, indirect, or consequent and incidental damages deriving from the use of its website.
Geo&Drill Service s.r.l. does not provide any explicit or implied warranty on the products offered for sale by users of the website or any guarantee of delivery systems used, including, without limitation, any guarantee of marketability or suitability for a specific purpose.
Because the laws of some countries do not allow an exemption from warranties, the above-mentioned exclusions may not apply. Under all circumstances, any compensation for Geo&Drill Service s.r.l.’s liability to the user or to third parties is limited to the total fees paid in the previous 6 (six) months, up to a maximum of Euro 100 (one hundred Euros).
7. Indemnity
By agreeing to these Terms and Conditions, the user undertakes to indemnify Geo&Drill Service s.r.l. and its employees, managers, and agents, and all group companies and their employees, against any and all third-party claims or demands for damages that may derive from the violation of even one of these Terms and Conditions, of legal obligations, or of third-party rights.
8. Access and interference
http://www.drillgeo.net contains tools to exclude search robots. Most of the information on the website is updated in real time, and is owned by Geo&Drill Service s.r.l. or has been licensed from users or third parties. By agreeing to these Terms and Conditions, the user undertakes not to use software programmes or other automatic or manual means to copy or access the pages or content of the website without the express written authorisation of Geo&Drill Service s.r.l.
In addition, the user undertakes not to:
- do anything which – in the final judgement of Geo&Drill Service s.r.l. – may unreasonably overload the website’s technological infrastructure and system;
- copy, reproduce, alter, modify, or disclose the website’s content (except for the user’s own personal information) without the express written authorisation of Geo&Drill Service s.r.l. or the express consent of the third parties that own the intellectual property rights to such content;
- use any mechanism, software, or process that may interfere with the correct operation of the website;
- bypass the robot exclusion tools or the other procedures adopted by Geo&Drill Service s.r.l. to prevent or limit access to the website.
9. Damages
The user agrees to compensate and indemnify Geo&Drill Service s.r.l. and its employees, managers, and agents, and all group companies and their employees, against any and all third-party claims or demands, including legal expenses, caused by or deriving from the violation of these Terms and Conditions, of any law, or of any third-party rights.
10. Independence of parties
Geo&Drill Service s.r.l. and its users act with full independence and freedom. These Terms and Conditions do not create or imply any collaborative, agency, associative, brokerage, or employment relationship between them.
11. Notices
Unless specified otherwise, notices required by law will be sent to the registered office of Geo&Drill Service s.r.l. - V.Trento, 5- 45100 Rovigo - Italy and to the email address that the user specified during the registration procedure. As an alternative, Geo&Drill Service s.r.l. may send such notices to the post office address specified during the registration procedure.
12. Settlement of disputes
In case of a dispute between the user and Geo&Drill Service s.r.l., the parties will give preference to neutral and economically appropriate methods to settle the dispute as quickly as possible. Consequently, the user and Geo&Drill Service s.r.l. agree that, for purposes of law or equity, the settlement of any dispute deriving from these Terms and Conditions or from the services provided by the portal, will take place in conformity to one of the methods specified below or based on written agreements between the user and Geo&Drill Service s.r.l.
Before resorting to such methods, the user is advised to directly contact Geo&Drill Service s.r.l., which will consider reasonable requests in order to settle the dispute by means of other procedures, such as mediation and arbitration, instead of in court.
13. Applicable law and jurisdiction
The relations established by virtue of these Terms and Conditions are governed by Italian law.
The user agrees that the Court of Rovigo has exclusive jurisdiction over any claim or dispute brought against it with reference to its use of the website and to payment of the fees for its use of the services provided by the http://www.drillgeo.net portal.
14. Consumers
The mandatory rules with regard to jurisdiction and applicable law will be applied to all disputes with consumers.
15. Additional terms and conditions
The rules indicated below and on the relative link, as well as the pages they refer to, describe additional terms and conditions for specific services offered by the website and are an integral and essential part of these Terms and Conditions. Each of these rules may be modified from time to time; changes take effect 14 (fourteen) days after their publication on the website.
When using specific services offered on the website, the user is subject to the published rules and regulations applicable to the services used. Such rules, which may be published from time to time, are therefore incorporated in these Terms and Conditions.
If a provision of these Terms and Conditions is declared null or void, any such nullity or voidness will not be extended to any of the other provisions of these Terms and Conditions.
The titles of the articles of these Terms and Conditions are merely indicative and in no way limit or describe their meaning or content. Geo&Drill Service s.r.l.’s failure to exercise any right under these Terms and Conditions does not constitute a waiver of any right to take action against the user or against third parties for the violation of commitments assumed.
Geo&Drill Service s.r.l. may change the content of these Terms and Conditions at any time by publishing a new version on its website. Unless otherwise specified, all new terms and conditions will automatically take effect 30 (thirty) days after the publication date.
Any exception to these Terms and Conditions must be formalised by means of a written agreement signed by the user and by Geo&Drill Service s.r.l.
16. Right of withdrawal
Any violation of these Terms and Conditions will give Geo&Drill Service s.r.l. the right to withdraw from this Agreement immediately and without notice.
17. Specific approval
The user declares that it has read and specifically approves the following articles of these Terms and Conditions: Art. 5.1, Art. 6, Art. 7, Art. 9, Art. 12, Art. 13, Art. 15, and Art. 16.
